Terms of Sale

These Terms of Sale govern the ordering and provision of paid WhatCopilot offers. They complement the Terms of Use. Template document to be reviewed by legal counsel. Information in parentheses (like this) is to be completed later.

Seller identity

Services are offered by: (legal entity name), (legal form), with share capital of (share capital), RCS (RCS city) (SIRET / SIREN), VAT (intra-EU VAT number if applicable), registered office: (registered office address). Contact: support@whatcopilot.com.

Purpose and scope

These Terms apply to any order of a WhatCopilot subscription or paid offer (analytics, Orion, multi-shop, etc.) placed via the site or a quote. Any order implies acceptance of these Terms of Sale and the Terms of Use.

Offer descriptions

Essential plan features (capabilities, Orion quotas, shop seats, etc.) are described on the Pricing page and/or in the quote. WhatCopilot may evolve non-essential features without substantially reducing the subscribed offer during a paid period, unless otherwise agreed.

Prices

Prices are shown in (currency — e.g. EUR) on the Pricing page or quote, (excl. / incl. VAT to be specified). Applicable taxes (VAT) are added under applicable law and your status. WhatCopilot may change prices for future periods; the price for an already-paid period remains the price in force at order time, unless otherwise agreed.

Ordering

Orders are placed online (plan selection, account creation or sign-in, payment) or by accepting a written quote for custom Entreprise quotas. Order confirmation (screen, email, or invoice) constitutes proof of the transaction.

Payment

Payment is made by (payment methods — card, direct debit, wire) via (payment provider — e.g. Stripe).

Unless otherwise stated, payment is due at order or at each subscription renewal. In case of non-payment, we may suspend access after (notice period) and/or terminate the subscription.

Duration, renewal, and cancellation

Unless otherwise stated, subscriptions run for (period — monthly / yearly) and renew automatically for successive equivalent periods, unless cancelled before the end of the current period via the product or support.

You may cancel via (in-app cancellation path) or by emailing support@whatcopilot.com. Cancellation takes effect at the end of the already-paid period, unless otherwise stated. No pro-rata refund is due except as provided herein or required by law.

Right of withdrawal (consumers)

If you act as a consumer under French consumer law, you generally have fourteen (14) days from contract conclusion to withdraw without giving a reason.

Exception: where you requested immediate performance of the digital service and acknowledged that you lose the right of withdrawal once performance has begun (or been fully performed), withdrawal may be excluded under statutory conditions. (exact early-performance consent wording — to be specified).

Refunds

Apart from applicable statutory withdrawal and billing errors on our part, amounts paid for a started period are generally non-refundable. (optional commercial refund policy — to be specified).

Warranties

We undertake to provide the service with reasonable care, consistent with the offer description. Mandatory consumer warranties under French law apply where relevant. Metrics and AI outputs do not constitute a guarantee of commercial results.

Liability

To the fullest extent permitted by law, WhatCopilot’s liability under these Terms of Sale is limited to amounts actually paid for the twelve (12) months preceding the claim. This limit does not apply to willful misconduct or gross negligence, nor to liabilities that cannot be excluded by law.

Consumer mediation

Under Articles L.611-1 et seq. of the French Consumer Code, consumers may use a consumer mediator free of charge for amicable dispute resolution: (consumer mediator name and contact details), or via the EU Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

Governing law and jurisdiction

These Terms of Sale are governed by French law. Failing amicable resolution (and mediation where applicable), disputes are submitted to the competent courts of (competent court), subject to mandatory consumer protections.
